July 20 (Reuters) – Permira-backed womenswear retailer Reformation is targeting a valuation of up to $1 billion in its U.S. initial public offering, marking a rare public-market foray for a fashion brand in recent years.
The Vernon, California-based company said on Monday it and some of its selling shareholders aim to raise up to $239.1 million in the IPO by offering 14.1 million shares priced between $15 and $17 each.
The IPO offers a rare test of investor appetite for a fashion retailer at a time when U.S. listings have been dominated by AI infrastructure and defense firms, potentially signaling whether the market’s revival is broadening beyond today’s favored sectors.
Kat Liu, vice president at IPO research firm IPOX, said investors are not shunning consumer companies, but few retail brands have enough recognition and differentiation to excite public-market investors.
Founded in 2009 as a vintage clothing boutique in Los Angeles, Reformation markets itself as a sustainable fashion brand that designs and sells women’s apparel and accessories.
DTC PLAY AND SUSTAINABILITY TEST
Reformation has built its brand around sustainability, which remains a key part of its pitch to investors as it enters public markets.
“Consumers consistently say sustainability is important, but purchasing decisions are still heavily influenced by price, fashion trends and convenience,” Liu said, adding this creates a tough balancing act of upholding sustainable sourcing while still keeping prices competitive and driving growth.
The company generates about 90% of its sales through direct-to-consumer channels and touts a loyal customer base.
Liu said DTC gives Reformation greater control over pricing, merchandising, customer relationships and inventory than brands that rely heavily on wholesale distribution.
“But I would not view DTC alone as a competitive advantage because many modern apparel brands have adopted similar strategies.”
Private equity firm Permira, which took a majority stake in Reformation in 2019, will retain significant influence post-IPO.
J.P. Morgan, Morgan Stanley, Citigroup and RBC Capital Markets are the primary underwriters. Reformation plans to list on the NYSE under the symbol “REF”.
